Welcome to Apex ID Performance LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at apexidp.com (the “Site”), as well as all products, services, B2B partner portals, wholesale operations, and digital platforms offered by Apex ID Performance LLC. By accessing or using our Site, purchasing products, or applying for an account within the Apex Partner Portal, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, do not use our Site or services.

1. General eligibility and storefront use

Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to make purchases or create an account on this Site.

Account Security: If you register for an account or apply for portal access, you are responsible for maintaining the confidentiality of your credentials and restricting access to your device. You agree to accept full responsibility for all activities that occur under your account.

Prohibited Conduct: You agree not to misuse the Site, reverse engineer any code, transmit malicious software, or bypass any security features or gated portals.

2. B2B and Apex Partner Portal terms

Apex ID Performance LLC provides direct wholesale ordering and commercial partnership tools through the gated Apex Partner Portal for gym owners, fitness professionals, and retail distributors.

Account Vetting: Access to wholesale pricing, bulk ordering, and B2B assets requires submission and verification of valid business credentials, including a Seller’s Permit, Tax ID/EIN, or Resale Certificate. We reserve the right to approve, suspend, or terminate partner portal access at our sole discretion.

Wholesale Pricing & Resale: Wholesale partners agree to adhere to Portal Area Requirements & Compliance Minimum Advertised Price guidelines where specified. Resale of Apex ID Performance products on unauthorized third-party online marketplaces, including Amazon, eBay, and Walmart Marketplace, without prior written consent from Apex ID Performance LLC is strictly prohibited.

Order Quantities & Minimums: Wholesale tier pricing is subject to Minimum Order Quantities set forth in the Apex Partner Portal. We reserve the right to adjust wholesale pricing, product availability, and MOQs with reasonable advance notice.

3. Orders, pricing and payment terms

All prices displayed on the Site are in USD. Prices and product availability are subject to change without prior notice. Receipt of an electronic order confirmation does not signify our acceptance of an order. Payments must be made via authorized payment methods supported at checkout. B2B invoicing terms, if granted, are governed by individual wholesale agreements.

4. Shipping, returns and risk of loss

Delivery dates are estimates only and are not guaranteed. Risk of loss and title for products pass to you upon delivery to the carrier. Retail and wholesale returns are governed by our standard Return Policy. Approved returns must be initiated within 7 business days of receipt. We do not charge restocking fees on approved returns.

5. Product information and health disclaimer

Statements made on the Site regarding dietary supplements, exercise programs, or performance products have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Always consult with a qualified healthcare professional before starting any supplement regimen or exercise program.

8. Governing law and jurisdiction

These Terms and any disputes arising from or related to them are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in California.
